Terms of Service

Picklee AI — Terms of Service

    Effective Date: September 12, 2026

Welcome to Picklee. These Terms of Service ("Terms") govern your access to and use of the Picklee mobile application and related services (the "Service"), provided by Maximo Holdings Company LLC ("Picklee," "we," "us," or "our"), a Wyoming limited liability company. By creating an account, subscribing, or otherwise using Picklee, you agree to these Terms. If you do not agree, do not use the Service.

    1. Who Can Use Picklee

Picklee is designed for parents, guardians, and adult caregivers. You must be at least 18 years old to create an account, and you represent that you are.

Adults may use Picklee to track children and teens under their care, themselves, or both. Weight goals and calorie budgets are available only on adult profiles.

The Service helps adults track the nutrition of children under their care. Children do not create accounts, sign in, or interact with the Service directly. All information about a child is entered by an adult. You are responsible for ensuring you have the right to enter information about any child whose data you provide.

    2. Your Account

You create an account using your email address, an Apple ID, or a Google account. You are responsible for keeping your credentials secure and for activity under your account. You agree to provide accurate information.

You may start using Picklee before creating an account. Anything you enter is held under a temporary anonymous account and becomes part of your account when you sign up; if you sign in to an existing account instead, Picklee moves the profiles you just set up into that account. Signing in with Apple using "Hide My Email" creates an account tied to that relay address, separate from any account you created with your email or Google sign-in.

You may add other adults (a partner, co-parent, or caregiver) to your household. All members of a household can view and log the kids' nutrition data within that household, and can see who logged each meal. The household owner controls invitations and may remove members. If you are the household owner and you delete your account, the household and all of its kids' data are deleted; the Service does not currently transfer household ownership.

    3. Subscriptions and Payments

Picklee offers auto-renewing subscriptions through Apple's in-app purchase system or Google Play Billing, depending on your device. Current plans, prices, billing periods, and trial terms are shown in the app at the time of purchase. By subscribing, you authorize Apple or Google to charge your account.

Auto-renewal. Subscriptions renew automatically at the end of each period unless cancelled at least 24 hours before the renewal date. Manage or cancel anytime in your Apple Account settings. Cancellation takes effect at the end of the current period.

Free trials. Some plans include a free trial, available to first-time subscribers only and limited to one per person. Trials on Google Play are granted per Google account by Google. If you do not cancel before the trial ends, you will be charged. Unused trial time is forfeited when you subscribe.

Promotional prices. From time to time we may offer introductory or promotional prices (for example a discounted first month) to eligible users. Eligibility is determined by Apple or Google and by our own rules, an offer may be presented only once per user, and after the promotional period the subscription renews at the regular price unless cancelled.

Access states. Without an active subscription or valid access code, most features are locked. If a subscription lapses, the Service enters a read-only state: you can still browse and view existing content, but logging meals, scanning, recipes, and analytics require active access. Browsing your logged meals and creating share cards remain available.

Refunds. Refunds are handled by Apple at reportaproblem.apple.com or by Google through Google Play; Picklee cannot issue refunds directly.

Promotional and referral codes. We may issue codes that grant free access for a defined period. Each personal referral code can be redeemed once per account, and referral benefits are subject to limits described in the app. Codes have no cash value, cannot be combined, and promotional access does not automatically convert to a paid subscription.

    4. What the Service Does

Picklee helps adults track the nutrition of children and teens under their care and, optionally, their own. You can photograph a meal (or scan a barcode, or enter a meal manually), and Picklee estimates its nutritional content. It scores a profile's nutrition across four groupings — Brain, Bones, Muscles, and Immunity — built from a set of underlying nutrients, measured against age-appropriate reference intakes. It also offers recipe suggestions, an automatically generated grocery list from your saved recipes, an optional feature to photograph your refrigerator for recipe matching, household sharing, and Home Screen widgets.

For adults, Picklee can calculate a personal daily calorie budget from the weight, height, goal weight, pace, date of birth, sex and activity level you enter, and can show your energy balance using Apple Health or step data you choose to share. These are general estimates based on standard formulas, not medical advice or a prescribed diet. Picklee applies minimum daily calorie floors and caps the pace of weight change, but it does not know your medical history. Do not use weight goals if you are pregnant or breastfeeding, under medical supervision for your weight, or have a history of disordered eating, without speaking to a qualified professional first.

The Service uses artificial intelligence from third-party providers (currently Google Gemini, with OpenAI as a fallback) to identify foods and estimate nutrition. AI estimates are approximations and vary in accuracy; where the Service is uncertain, it intentionally biases estimates toward the conservative side.

Picklee is an information service, not a medical service. Nutritional information is an estimate, not a measurement, and is not a substitute for professional medical, pediatric, or dietary advice. Always consult a qualified healthcare provider about your child's diet, especially regarding allergies, medical conditions, growth, or any health concern. Picklee does not diagnose, treat, prevent, or cure any condition.

    5. Your Content

You may upload photos of meals, refrigerators, children (for profile avatars), and other information. This includes photos, typed and dictated meal descriptions, and the body, goal and activity data you enter or connect. You retain ownership of your content. You grant Picklee a worldwide, non-exclusive, royalty-free license to host, process, analyze, and display your content solely to provide the Service to you and your household.

You agree not to upload content you lack the right to share, photos of children not in your care, or anything unlawful, harmful, or violating another's rights. We may remove content that violates these Terms.

    6. Recipes and Suggestions

The recipe library and suggestions are for inspiration and information. You are responsible for adapting recipes to your child's age, allergies, and dietary needs, and for your own judgment about what to prepare. Picklee is not responsible for the outcome of meals you make based on Service content.

    7. Acceptable Use

You agree not to: reverse-engineer or extract the Service's source code; use the Service unlawfully; scrape or mine data; misrepresent your identity or a child's; abuse referral or promotional mechanics; or interfere with the Service's operation. You may not sell or commercially exploit the Service or data obtained through it.

    8. Privacy and Children's Data

Picklee is operated for and by parents. All child data is provided by an adult. We treat children's data with extra care; see our Privacy Policy at https://picklee.co/privacy for full detail.

Because all child data is entered by an adult caregiver, Picklee operates under the parental-consent model contemplated by the U.S. Children's Online Privacy Protection Act (COPPA). We do not knowingly allow children to create accounts or interact with the Service. If we learn a child has done so, we will delete that account and data.

Teen profiles are created and managed by an adult in the same way as child profiles; teens never hold an account.

    9. Intellectual Property

The Service, including its software, design, content (other than your uploads), and trademarks, is owned by Maximo Holdings Company LLC or its licensors and protected by law. You receive a personal, non-transferable, revocable license to use the Service under these Terms.

    10. Third-Party Services

The Service relies on third parties including Apple, Google, Google Play, OpenAI, Supabase, RevenueCat, Sentry, Resend, and others. Voice Log uses Apple's or Google's speech recognition on your device. Your use is also subject to those parties' terms. We are not responsible for third-party practices.

    11. Account Termination

By you. You may delete your account in Settings → Privacy & Data → Delete Account. Deletion is permanent and removes your account and associated data as described in the Privacy Policy. Deleting your Picklee account does not cancel your Apple subscription; cancel that separately in your Apple Account settings.

By us. We may suspend or terminate your account for violation of these Terms, legal requirements, or risk to the Service, with reasonable notice where practicable.

    12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT NUTRITIONAL ESTIMATES WILL BE ACCURATE.

Calorie budgets, energy balances and weight projections are estimates for general informational purposes. Apple Health and step data are read as reported by your device and may be incomplete or inaccurate.

    13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MAXIMO HOLDINGS COMPANY LLC AND ITS OWNERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF $50 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. THIS DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

    14. Indemnification

You agree to indemnify and hold harmless Maximo Holdings Company LLC and its owners, employees, and affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising from your violation of these Terms, misuse of the Service, content you upload, or violation of any law or third-party right.

    15. Changes to These Terms

We may update these Terms. For material changes, we will notify you in the app or by email and update the Effective Date. Continued use after changes take effect constitutes acceptance.

    16. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Disputes will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to their jurisdiction.
